Supplier Code of Conduct

1. GENERAL REQUIREMENTS

  1. The Contractor undertakes to familiarize themselves with the Code of Conduct and comply with its provisions.
  2. When selecting new suppliers, the Contractor should pay particular attention to working conditions and environmental standards. If the Contractor fails to comply with the requirements of this Code of Conduct, they are required to implement corrective actions.
  3. The Contractor undertakes to comply with all applicable local, national, and international laws, regulations, standards, and other binding requirements, in particular labor law, UN and ILO conventions on minimum employment age, environmental protection, road transport, carriage of goods, waste management, exhaust emissions, hazardous materials, and drivers’ working hours.
  4. If the Contractor fails to comply with the applicable requirements or the provisions of this instruction, VISLINE reserves the right to terminate the agreement due to the Contractor’s fault.
  5. VISLINE reserves the right to inspect all vehicles of the Contractor.
  6. The Contractor is obliged to treat all information obtained in connection with the performance of assignments for VISLINE as confidential. Without VISLINE’s written consent, the Supplier may not disclose any confidential information to third parties.
  7. The Contractor undertakes to safeguard the well-being of all stakeholders and the natural environment by continually improving their environmental performance.

2. DEFINITIONS

  • Discrimination – a form of unjustified marginalization (social exclusion), manifested by treating a person less favorably than another in a comparable situation due to a certain attribute, e.g. developmental stage, disability, sexual orientation, gender, religion, beliefs, nationality, or race.

  • Stakeholder – an entity (individuals, communities, institutions, organizations, authorities) that can influence the company and/or is affected by its activities.

  • Conflict of interest – arises when the interests or activities of Visline, its employee, supplier, or related entity affect or may affect the ability to act in the best, objective interest of Visline and its clients in the course of planned or ongoing cooperation.

  • Bribe – a tangible benefit through which the giver obtains or may obtain undue advantage from the recipient.

  • Contractor – refers to the supplier of services performed directly or indirectly on behalf of VISLINE; including employees of the main Contractor and its Subcontractors.

3. LABOR RIGHTS

3.1 Child labor

  1. The Contractor undertakes to respect children’s rights (defined as persons under the age of 18), protecting them from economic exploitation and any work that is hazardous to life and health, interferes with education, or adversely affects physical, mental, spiritual, moral, or social development, in line with Article 32.1 of the UN Convention on the Rights of the Child.
  2. The minimum age for employment in positions with potential physical or mental health risks is 18 years. The Supplier should have documents verifying the age of each employee.
  3. If VISLINE finds that the Contractor employs minors, it reserves the right to inform the National Labor Inspectorate and the client on whose behalf the order is carried out, as well as to terminate the cooperation agreement with immediate effect, due to the Contractor’s fault. All actions in response to child labor are conducted in the best interest of the child.

3.2 Forced labor

  1. The Contractor may not coerce employees into work (coercion understood as forced labor under threat of penalty, confiscation of personal property, or enforcement of non-voluntary work) by means of physical, financial, or any other coercive measures.
  2. If temporary employees are hired under contracts, the Contractor may not force them against their will to extend work beyond the contract period.

3.3 Health and Safety

  1. The Contractor shall provide all employees with healthy and safe workplaces free from harassment and violence, maintaining zero tolerance for breaches of safety rules and making every effort to protect workplaces from accidents and adverse health impacts.
  2. Employees hired by the Contractor undergo regular, documented health and safety training and occupational health examinations.

3.4 Freedom of association

  1. The Contractor recognizes all employees’ rights to freedom of association and the right to enter into collective labor agreements.

3.5 Remuneration and employee records

  1. Each employee has the right to a written employment contract in their native language. Such a contract must specify the level of remuneration and the method of payment prior to commencement of work.
  2. The Contractor maintains personnel records and processes personal data confidentially. Employees are guaranteed continuous access to their personnel records and may make changes or raise objections.
  3. All employees are entitled to a 40-hour work week, not exceeding 60 hours in emergencies or overtime. Each employee has the right to at least 1 day off every 7 days.

3.6 Right to privacy

  1. The Contractor undertakes to comply with the provisions of the Personal Data Protection Act and the Regulation on the protection of individuals with regard to the processing of personal data and on the free movement of such data, repealing Directive 95/46/EC (GDPR), the Act on the Provision of Electronic Services, as well as all implementing acts and EU regulations.
  2. Personal Data may be processed only on the basis of the User’s consent or when legal provisions authorize the Controller to process personal data under law or for the performance of a contract between the parties.

3.7 Harassment and discrimination

  1. The Contractor respects and upholds labor rights, and does not tolerate harassment or discrimination of any kind and for any reason, e.g. ethnic origin, religion, age, disability, gender, marital status, sexual orientation, union membership, or political affiliation.
  2. No humiliating behavior toward an employee, client, supplier, or third-party worker should be tolerated. All employees are protected against discrimination or dismissal on unjustified grounds, e.g. marriage, pregnancy, parenthood, or HIV status.
  3. All employees should be aware of the concepts of discrimination and harassment and be familiar with the procedures and policies for addressing violations in this area.
  4. The Contractor respects the UN Human Rights Convention and accepts its responsibility toward employees and the community in which it operates.
  5. The Contractor undertakes to apply equal rights in access to professional training and in recruitment processes.
  6. Employees are hired solely on the basis of an objective assessment of their competencies. They are evaluated exclusively on the basis of job performance and professional skills.
  7. The Contractor undertakes not to apply pay discrimination for employees in similar positions, for any reason, e.g. gender, race, age.

4. RULES OF COOPERATION

4.1 Security declaration

  1. In connection with the provision of services for a business partner holding AEO status, we undertake to comply with safety and security standards.
  2. Reliable personnel are employed in the provision of services for the Authorized Economic Operator (AEO).
  3. We commit to requiring our business partners performing tasks for an AEO-certified partner to comply with safety and security standards.

4.2 Confidential information

  1. The Contractor is expected not to disclose confidential information to third parties concerning orders carried out for VISLINE or its clients. Where applicable, the Contractor requires employees and other service providers to sign a confidentiality agreement. This obligation remains in force after employment ends or cooperation ceases.

4.3 Fair competition

  1. The Contractor undertakes to comply with and promote the principles of fair competition and to refrain from entering into prohibited anti-competitive agreements, as well as unlawful exchanges of price and/or market information with competitors.
  2. The Contractor should not cooperate commercially with competitors who do not adhere to the principles of fair cooperation and competition, without written consent from an authorized person.

4.4 Anti-corruption

  1. All actions that abuse entrusted power for private gain, such as extortion or bribery, are strictly prohibited.
  2. The Contractor undertakes not to accept or offer any corrupt benefits. The giving or receiving of so-called “promotional items” of a value consistent with prevailing business practices is permitted.

4.5 Counterfeit parts

  1. The Contractor undertakes to prevent counterfeit parts from entering circulation by cooperating with trusted, verified contractors.
  2. The Contractor commits to ensuring supply chain security through proper control procedures and supervision of the entire process, to guarantee participation only in the circulation of legally approved products and parts.
  3. The Contractor maintains an effective system for reporting risks of intellectual property rights violations.

4.6 Conflict of interest

  1. All Contractor employees are obliged to act solely in the best interest of the company and its clients and to ensure individual loyalty. Conflicts of interest must be avoided, and company position or assets must never be used for personal gain.
  2. A conflict of interest arises when an individual’s personal interest conflicts in any way with the interests of the company or its clients, or creates such an appearance. Each Contractor employee is required to act fairly and avoid any relationships or actions that could affect the ability to make objective and fair business decisions in the performance of duties.

4.7 Cargo security

  1. The Contractor undertakes to perform orders diligently, in accordance with agreed conditions and applicable legal requirements, and to properly secure goods and vehicles during travel as well as during breaks and stoppages.
  2. The Contractor undertakes to use transport routes agreed with the ordering party.

5. SUSTAINABILITY

  1. One of the greatest challenges of today’s world, including all business sectors, is ensuring development while continuously reducing negative environmental impact. The Contractor is obliged to constantly reduce their negative impact by monitoring and reducing CO2 footprint, as well as by recognizing environmental criteria as key when purchasing new vehicles.
  2. To reduce environmental costs associated with business travel and commuting, we encourage creating conditions that allow employees to work remotely.

6. REPORTING IRREGULARITIES

  1. The Contractor undertakes to implement a system for reporting any irregularities that are inconsistent with this Code of Conduct to the direct supervisor or directly to the Company’s Management Board. In the event of violations, appropriate actions should be taken immediately to restore compliance.
  2. Reported irregularities must be treated confidentially to protect employees from workplace discrimination.

7. ENVIRONMENTAL PROTECTION REQUIREMENTS

7.1 The Contractor is prohibited from:

  • refueling vehicles in unauthorized places,

  • washing vehicles and equipment in unauthorized places,

  • discharging or disposing of waste into water, soil, or sewage systems,

  • bringing any hazardous waste onto VISLINE’s premises.

7.2 The Contractor undertakes to:

  • comply with applicable environmental protection requirements,

  • use operational vehicles with valid inspections,

  • strive for sustainable company development by optimizing resource use, including reducing waste and energy consumption,

  • use environmentally friendly chemicals and handle them appropriately throughout their life cycle to minimize environmental impact,

  • provide all employees and persons present on company premises with ongoing access to drinking water and water for sanitary purposes,

  • strive to reduce average fuel consumption and CO2 emissions, minimize pollution and waste generation, and limit water usage by applying appropriate processes, practices, and principles,

  • continuously optimize transport operations and apply ecological solutions,

  • collect, dispose of, and recycle waste selectively.
